Our client is an established organization operating within the chemical sector, managing structured commercial programs and multi-jurisdictional operations.
The Opportunity
This engagement calls for a seasoned legal leader to manage complex transactions, structured financing arrangements, governance, and compliance matters.
The ideal candidate brings deep familiarity with the U.S. legal system. This role requires mature commercial judgment, precision in drafting and negotiation, and the ability to translate complex legal constructs into practical, business-aligned solutions.
Core Responsibilities:
Transactional & Financing Advisory
Lead structuring, drafting, and negotiation of commercial and financing agreements.
Advise on U.S.-law-governed contracts and cross-border transaction frameworks.
Oversee due diligence, risk allocation, and execution processes.
Coordinate and manage external counsel where required.
Lead end-to-end oversight of RFP cycles, including proposal evaluation, review of project documentation, contract drafting and negotiation, and provision of ongoing legal support throughout project execution.
Advising on, structuring, drafting, and negotiating loan and credit facility agreements
Corporate Governance & Regulatory Oversight
Advise on governance matters across multiple entities.
Draft and review board materials, resolutions, intercompany arrangements, and regulatory filings.
Provide oversight on compliance controls, including anti-corruption, conflict management, and third-party risk frameworks.
Monitor and interpret regulatory developments impacting operations and transactions.
Partner closely with senior leadership to ensure regulatory and compliance alignment across multi-jurisdictional projects and operational initiatives
Strategic & Operational Counsel
Review and negotiate key commercial agreements including vendor contracts, NDAs, and consultancy arrangements.
Support procurement, partnership structuring, and internal policy refinement.
Strengthen documentation standards and legal processes.
Candidate Profile
15+ years of post-qualification experience, with substantial exposure to the U.S. legal system.
Demonstrated experience collaborating with banks and financial institutions; exposure to lender-side engagement is highly preferred
Experience in U.S.-law-governed transactions and cross-border commercial arrangements.
Strong background in structured financing, corporate governance, and regulatory advisory.
Demonstrated ability to provide pragmatic, executive-level legal counsel.
Comfortable operating in a fractional capacity while engaging at a strategic level.
