Role Purpose
As an Independent Director on the Board, you will bring strategic oversight and independent leadership in the domains of finance, governance and risk.
Key Responsibilities
- Provide independent judgement in board deliberations on strategy, performance, resource allocation, growth, and risk.
- Ensure that the Board has appropriate governance frameworks, board committee structures (e.g., audit, risk) and charters, and that independent director duties are fulfilled.
- Promote transparency and accountability: ensure financial, governance, risk disclosures are appropriate and stakeholder interests including minority shareholders are protected.
- Oversee and challenge financial performance, budgets, forecasts, cash flow management, capital structure decisions, funding strategy and financial risk exposure.
- Oversee the enterprise-wide risk management framework: strategic, operational, financial, compliance and reputational risks are identified, assessed, mitigated and monitored.
- Ensure compliance with relevant laws and regulations (including corporate law, financial reporting, industry-specific rules, data/privacy).
Qualifications & Experience
- Proven board-level or senior leadership experience, ideally in finance, corporate governance, risk management or closely related roles.
- Deep understanding of financial statements, internal controls, audit processes, budgeting, capital structure, financing options and financial risk management.
- Demonstrated experience in governance, compliance, risk oversight and strong business acumen especially in a growth or scale-up environment.
- Excellent communication and stakeholder-management skills: ability to engage with investors, board members, senior management, supply-chain partners, and regulators.
- Familiarity with Indian corporate legal/regulatory environment (including and not limited to the Companies Act, 2013, audit committee requirements, risk management obligations).
